PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES (EXCLUDING PUERTO RICO) AND THE DISTRICT OF COLUMBIA AND CANADA (EXCLUDING THE PROVINCE OF QUEBEC) WHO ARE 18 YEARS OF AGE OR OLDER AND LOCATED IN THE U.S. OR CANADA AT THE TIME OF ENTRY. VOID ELSEWHERE AND WHEREVER PROHIBITED BY LAW.

  1. Eligibility: Open to legal residents of the United States (Excluding Puerto Rico)and District of Columbia and Canada (excluding Quebec) who are 18 years of age or older and located in the United States or Canada at the time of entry. Employees, contractors, directors and officers of Shaw Industries Group, Inc. ("Sponsor"), its parent, subsidiary and affiliated companies, distributors, web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Promotion (collectively, "Promotion Parties"), and the immediate family members of each (spouse, parent, child, sibling, grandparent, and spouse of "step" of each) and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Promotion) are not eligible.

  2. Promotion Period: Promotion begins on August 29, 2008 at 12:00:01 a.m. Central Standard Time ("CST") and ends November 28, 2008 at 11:59:59 p.m. CST(the "Promotion Period"). The sweepstakes Sponsor's time clock is the official clock for this Promotion.

  3. How to play: During the Promotion Period, complete the Official On-line Entry Form, available at http://www.shawfloors.com ("Web Site") with all information requested, including the name, address, and e-mail address, and date of birth of the entrant ("Entrant"). Entrant may also earn additional Sweepstakes entries by referring friends ("Friends") to the Promotion. To refer a Friend to the Promotion, Entrant ("Referrer") must provide Friend's valid email address and click on the button on the "Tell a Friend" page to generate a referral e-mail message that will be sent to Friend at the email address provided by Referrer ("E-Mail"). Entrant will be credited with one (1) additional Promotion entry for each unique Friend that Entrant refers to the Promotion. Entrant can refer up to five (5) Friends each day. Friends may not be members of Entrant's household. Entrant may refer each Friend only one (1) time during the Promotion Period. Entrant must have a personal relationship with the Friend. Limit one Instant Win entry per Day of the Promotion Period per person/e-mail address. Entries submitted by an Entrant in excess of the daily limit or multiple entries submitted by means of software-generated or other automated processes or any entry from an unqualified related person to an Entrant will disqualify all entries of that Entrant's e-mail address. All Entrants and Friends must have a valid e-mail address. On the Web Site, after submitting all information required, Entrant may receive a notice that he/she is a winner of an instant win prize ("Instant Win Prize") (see section 4 below for the Instant Win Prize description), subject to verification and in the case of Canadian residents, correctly answering a time-limited mathematical skill-testing question ("Instant Prize Winner"). All Entrants will also be entered in a random drawing ("Random Drawing") for a chance to win a grand prize ("Grand Prize") (see section 4 below for the Grand Prize description). If an Entrant is selected as a Grand Prize winner, the earliest Referrer of Entrant (if any) will receive an identical Grand Prize ("Referrer Prize") (subject to Promotion eligibility)( if no Entrant referred the Grand Prize winning Entrant, no Referrer Prize will be awarded corresponding to such Grand Prize). Entrants that are not Instant Prize Winners will be given an opportunity to print a coupon for $100 off of Shaw flooring products ("Coupon") at local participating dealers, the names of which will be printed on Coupon. Coupon requires the following minimum purchase in order to be redeemed: any Shaw Carpet - 60 sq. yards; any Shaw Laminate - 250 sq. feet; any Shaw Hardwood - 250 sq. feet; any Shaw Tile & Stone - 250 sq. feet; any Shaw rug purchase of $750 or more. Coupon expires December 31, 2008. Coupons may not be mechanically reproduced. Each Coupon will contain a Coupon code ("Code"). When the Coupon is presented at one of the local participating dealers listed on the Coupon until December 31, 2008 (NO PURCHASE OR SALES PRESENTATION NECESSARY TO CHECK YOUR COUPON), the local participating dealer will enter the Code into a web page provided by Sponsor ("Golden Ticket Web Site"). There are ten (10) prizes available (each a "Golden Ticket") (see section 4 below for the Golden Ticket prize description). Winners of an Instant Win Prize are not eligible to receive a Golden Ticket. Sponsor is not responsible for incomplete, lost, late, or misdirected entries, for any failure to receive entries, or inability of entrants to print Coupons, due to transmission errors or technical failures of any kind, including, without limitation, malfunction of any network, hardware, software, whether originating with sender or Sponsor. In the event of a dispute, all entries will be deemed to have been submitted by the owner of the e-mail account listed on the entry form. For these purposes, an e-mail account holder shall mean the natural person assigned to such e-mail account by the Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with such e-mail account. Any questions regarding the number of entries submitted or the owner of an e-mail account shall be determined by Sponsor in its sole discretion. Limit one (1) Grand Prize and either one (1) Instant Win Prize or one (1) Golden Ticket prize per person, household and/or email address for the entire Promotion Period. If you are a winner of an Instant Win Prize or Golden Ticket, you are still eligible to win the Grand Prize, but winners of an Instant Win prize are not eligible to win a Golden Ticket prize.

  4. Prizes, Drawing, Odds And Approximate Retail Values: Instant Win Prizes are randomly seeded using a time-based method. Odds of winning are based upon the number of game plays and the order in which they are played. For the Instant Win, the results of your game play will be automatically displayed. If a prize is shown, you are Instant Prize Winner, subject to verification and compliance of these rules. Odds of winning the Random Drawing depend on number of entries received during the Promotion Period. The Random Drawing prize winner ("Random Drawing Prize Winner") will be selected in a random drawing of all eligible entries received during the Promotion Period on or about December 29, 2008 by Parago, Inc., an independent judging organization whose decisions are final and binding with respect to this Promotion. Golden Ticket Prize is randomly seeded using a time-based method. Odds of winning are based upon the number of game plays and the order in which they are played. All Instant Prize Winners, Referrer Prize (if any), Random Drawing Winner, and Golden Ticket prize winners are subject to verification, including verification of age and in the case of Canadian residents correctly answering a time-limited mathematical skill-testing question. If attempted notification is returned as undeliverable, if a Winner cannot be verified, or if a Winner is otherwise unable to, or does not, accept prize, prize will be forfeited.

    5. Instant Win Prizes Available (amounts in United States dollars):
    (17) $1,000 Shaw Gift Card redeemable towards a purchase of Shaw hardwood flooring at participating dealers.

    (17) $750 Shaw Gift Card redeemable towards a purchase of Shaw ceramic flooring at participating dealers.

    (43) $575 Shaw Gift Card redeemable towards a purchase of Shaw laminate flooring at participating dealers.

    (60) $500 Shaw Gift Card redeemable towards a purchase of Shaw carpet at participating dealers.

    (463) Shaw area rug to be selected by winning Entrants on the Web Site and delivered to Entrants at the entry physical addresses.

    Grand Prizes Available:
    One (1) $2,500 gift card redeemable towards purchase of Shaw flooring products at participating dealers; (one (1) identical Referrer Prize also available if applicable as set forth above in Section 3).

    Golden Ticket Prizes Available
    Ten (10) $1,000 Shaw Gift Card redeemable towards a purchase of Shaw flooring products at participating dealers.

    TOTAL APPROXIMATE RETAIL VALUE OF ALL PRIZES IN THE PROMOTION IS: $ 276,804.

  5. Limitations of Liability and Release: No more than the advertised number of Instant Win Prizes, Grand Prizes, Referrer Prizes (if any) or Golden Ticket prizes will be awarded. If because of error (or for any other reason) there are more Instant Win Prize, Grand Prize, Referrer Prize (if any) or Golden Ticket prize claims than prizes offered, a random drawing will be held from among all eligible claimants in such prize category to award only the number of prizes in such prize category as stated in these Official Rules. Sponsor's sole liability for defective Instant Win or Golden Ticket game play is one additional game play, while supplies last. All online entrants must have a valid e-mail address. No liability or responsibility is assumed by Sponsor or Promotion Parties resulting from user's participation in or attempt to participate in the Promotion or download any information in connection with participating in the Promotion. No responsibility or liability is assumed by the Sponsor or Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Promotion: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent to or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site or Golden Ticket Web Site in whole or in part for any reason; traffic congestions on the Internet or the Web Site or Golden Ticket Web Site; unauthorized human or non-human intervention of the operation of the Promotion, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Promotion, or loss, miscount, misdirection, inaccessibility or unavailability of an Account used in connection with the Promotion. Sponsor is not responsible for any typographical errors in the announcement of Prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site or Golden Ticket Web Site. Use of Web Site is at user's own risk. Sponsor and the Promotion Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Promotion, use of the Web Site or the download of any information from the Web Site. By participating in the Promotion, the entrant thereby releases Sponsor and Promotion Parties, from any and all claims, damages or liabilities arising from or relating to such entrant's participation in the Promotion. By accepting a Prize, Winners agree that the Sponsor and Promotion Parties shall not be liable for any loss or injury resulting from participation in the Promotion or acceptance or use of any Prize, including any travel related thereto.

  6. General: Random Drawing prize winners will be notified via mail. Golden Ticket prize winners will be notified on site and will receive follow-up documentation from Sponsor via mail. Winners are solely responsible for any taxes on the respective prizes, and winners of prizes valued at $600 or more will receive an IRS Form 1099 for the approximate retail value of the prize. No cash equivalent or substitution of Prize is offered, except at the sole discretion of the Sponsor. No transfer of Prize. By participating, entrants agree to these Official Rules and Sponsor's Privacy Policy (available at http://www.shawfloors.com/Privacy-Policy) which are final and binding in all respects. Unclaimed prizes will not be awarded. Instant Win Prize, Referrer Prize (if any), Random Drawing Prize and Golden Ticket prize winners will be notified by mail and will be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release within fourteen (14) Days of attempted notification or Prize may be forfeited. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. If for any reason the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right, at its sole discretion, to disqualify any individual who is responsible or who tampers with the entry process, and to cancel, modify or terminate the Promotion or any portion thereof. This Promotion is offered only in the United States and is governed by the laws of the state of Georgia and all claims must be resolved in the federal or state courts for Dalton, Georgia, without regard to conflicts of laws principles.

  7. Winners List/Rules Request: For winners' names (first initial, last name, city and state) or Official Rules send a self-addressed, stamped envelope specifying "Official Rules" or "Winner List", postmarked by November 29, 2008 to: Shaw Industries Fall for Flooring, P.O.
